  • Establishes the project's governance framework, financial control principles, risk appetite, and delegated authorities.

  • Defines the funding strategy, investment objectives, reporting requirements, and approval thresholds.

  • Retains ultimate accountability for capital stewardship, investment decisions, and value realization.

  • May delegate governance activities and authority, but cannot delegate ultimate accountability for the prudent management of capital and fiduciary responsibilities.

While governance activities and delegated authorities may be assigned to others, ultimate accountability for governance remains with the Owner because it relates to capital allocation, fiduciary responsibility, and investment outcomes.
